ZipFeed does not host or control third-party content and is not affiliated with platforms like YouTube, social networks, or other services whose content you may reference. Any use of ZipFeed in connection with third-party platforms remains entirely subject to those platforms' own terms and policies.

3. Your Responsibility for Compliance and Permissions

You are solely responsible for ensuring that any plan, workflow, automation, or action you create, follow, or implement using ZipFeed complies with:

  • All applicable laws and regulations in the jurisdictions where you operate.
  • All applicable terms of use, service, and developer policies of third-party platforms, tools, and services (including but not limited to YouTube, social media platforms, CRMs, ad networks, and automation tools).
  • Any contractual or policy obligations you have to your employer, clients, partners, or vendors.

ZipFeed may provide suggested steps or flows, but you must independently verify that you have the necessary rights, licenses, and permissions for any action you take, including using third-party content, data, or APIs. We do not verify or guarantee that any suggested plan complies with third-party terms, and we are not responsible for your failure to do so.

4. No Legal, Financial, or Compliance Advice

Information, recommendations, and action flows generated by ZipFeed are provided for informational and educational purposes only. They do not constitute legal, financial, compliance, or professional advice.

You should consult qualified professionals before relying on any plan generated by ZipFeed in contexts where legal, regulatory, contractual, or financial consequences may arise. You acknowledge that you use the Service at your own risk and that you remain solely responsible for all decisions and actions you take based on its output.

5. Third-Party Terms and Platform Policies

ZipFeed may reference or help you organize actions related to third-party platforms and services. Those platforms are not controlled by ZipFeed, and their terms, policies, and technical rules may change at any time.

It is your responsibility to read, understand, and comply with any applicable third-party terms (including API terms, automation rules, scraping rules, and acceptable use policies). ZipFeed does not warrant that any suggested steps or workflows are allowed by third parties, and we are not liable if you use the Service in a way that violates any third-party terms or policies.

You retain ownership of your User Content, but you grant ZipFeed a non-exclusive, worldwide, royalty-free license to use, process, store, and display your User Content for the purpose of providing and improving the Services.

You represent and warrant that you have all rights, permissions, and authority necessary to provide your User Content to ZipFeed and to grant the license above, and that your User Content does not violate any law, third-party rights, or third-party terms of service.

9. Prohibited Uses

You agree not to use ZipFeed to:

  • Engage in any activity that violates applicable law or regulation.
  • Violate or attempt to circumvent the terms of use, service, or platform rules of any third-party website, service, or API.
  • Automate or scale actions in ways that are not permitted by third-party platforms (for example, prohibited scraping, account automation, or spam activity).

  • Attempt to interfere with or disrupt the integrity, security, or performance of the Services or any related systems.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, ZIPFEED DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY OUTPUT OR INFORMATION PROVIDED WILL BE ACCURATE, COMPLETE, OR RELIABLE. YOU ACKNOWLEDGE THAT YOU USE THE SERVICES AND ACT ON ANY OUTPUT AT YOUR OWN RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ZIPFEED OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZIPFEED'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL BE LIMITED TO THE AMOUNTS YOU PAID TO ZIPFEED FOR THE SERVICES, IF ANY, DURING THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

WITHOUT LIMITING THE FOREGOING, ZIPFEED WILL HAVE NO LIABILITY FOR ANY DAMAGES OR LOSSES ARISING FROM YOUR FAILURE TO COMPLY WITH THIRD-PARTY TERMS OR TO VERIFY PERMISSIONS, OR FROM YOUR RELIANCE ON ANY INACCURATE OR NON-COMPLIANT PLAN, ACTION FLOW, OR OUTPUT GENERATED BY THE SERVICE.

13. Indemnification

You agree to indemnify, defend, and hold harmless ZipFeed and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your use of the Services.
  • Your violation of these Terms.
  • Your violation of any law, regulation, third-party right, or third-party terms of service or platform policy.
  • Any dispute between you and a third party related to your use of ZipFeed.

14. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Services will be governed by and construed in accordance with the laws applicable in the jurisdiction where ZipFeed is organized, without regard to its conflict of laws principles.

Any disputes arising under these Terms will be resolved in the courts of that jurisdiction, and you consent to the personal jurisdiction and venue of such courts.
